1. Acceptance of Terms

By accessing or using Intake ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Intake is a document collection and management platform that enables professionals to request, receive, and organize documents from their clients. The Service includes:

Document request creation and management
Secure client upload portals
AI-powered document classification
Email notifications and reminders
Document storage and download

3. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials
Promptly notify us of any unauthorized access
Accept responsibility for all activities under your account

4. Subscription and Payments

Free Tier

New users receive access to a free tier with up to 3 clients. No credit card is required to use the free tier.

Subscription

To add more than 3 clients, a paid subscription is required. Subscriptions are billed monthly at the then-current rate. You may cancel at any time, and cancellation takes effect at the end of the current billing period.

Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion for exceptional circumstances.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Upload malicious files or content
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service
Collect documents you are not authorized to receive
Impersonate another person or entity
Use the Service to send spam or unsolicited communications

6. Your Content and Data

Ownership

You retain ownership of all content you upload or that your clients upload through the Service. We do not claim ownership of your documents or data.

License

You grant us a limited license to store, process, and transmit your content solely to provide the Service, including AI document classification.

Responsibility

You are responsible for the content collected through your account and for ensuring you have the right to collect such documents from your clients.

7. Client Consent

When using Intake to collect documents from your clients, you represent that:

You have a legitimate business relationship with the client
The client has consented to upload documents to you
Your use complies with applicable privacy laws

8. AI Classification

Our AI classification feature is provided to assist with document organization. While we strive for accuracy, AI classification may occasionally be incorrect. You should verify document classifications when accuracy is critical.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We are not liable for any interruption or loss of service.

10. Data Security

We implement reasonable security measures to protect your data. However, no system is completely secure. You acknowledge that you upload and store data at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCGATHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Intake and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your account for violation of these Terms or for any other reason at our discretion. Upon termination:

Your access to the Service will end
You may download your data for 30 days
After 30 days, your data may be permanently deleted

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
